Notice of a transaction undertaken by persons performing managerial responsibilities in the Issuer and persons closely related to them
Pursuant to the Regulation (EU) No. 596/2014 on market abuse, SUNCE HOTELI d.d., Trpinjska 9, Zagreb (Issuer) hereby informs on the release of the Issuer's shares received from:
- Mr. Jako Andabak, who has, as a Chairman of the Supervisory Board of the Issuer, indirectly released 3,030,099 shares, each at a price of € 24.33, which shares in aggregate represent 50.90% of the Issuer's issued share capital
- Mrs. Danica Andabak, who has, as a closely related person with the person performing managerial responsibilities, indirectly released 420,654 shares, which shares in aggregate represent 7.07% of the Issuer's issued share capital
- Mrs. Ružica Andabak, who has, as a Member of the Supervisory Board of the Issuer, indirectly released 270,420 shares, each at a price of € 24.33, which shares in aggregate represent 4.54% of the Issuer's issued share capital
- Sanja Gagulić, who has, as a Member of the Supervisory Board of the Issuer, indirectly released 100.082 shares, each at a price of € 24.33, which shares in aggregate represent 1,68% of the Issuer's issued share capital
- LUCIDUS d.d., which has, as a closely related person with the person performing managerial responsibilities, directly released 1.146.420 shares, each at a price of € 24.33, which shares in aggregate represent 19.24% of the Issuer's issued share capital
Said transaction is made pursuant to the Share Purchase Agreement relating to the shares of the company SUNCE HOTELI d.d., OIB 06916431329, Trpinjska 9, Zagreb and the business shares of the company SUNCE ULAGANJA d.o.o., Trpinjska 9, Zagreb, OIB 33604047277, which was concluded on 23 March 2021, between Mr. Jako Andabak, OIB 37634999594, Ms. Danica Andabak, OIB 68052127752, Ms. Ružica Andabak, OIB 51080208254, Ms. Ivana Andabak, OIB 61577550400 and the company LUCIDUS d.d., OIB 04034287331, as the Sellers and Eagle Hills Zagreb Real Estate d.o.o., Zagreb, Hektorovićeva ulica 2, OIB 63572346734 as the Purchaser.
By the date of this Notice, the Issuer has not been informed that there has been a transfer of the Issuer's shares and business shares of the company SUNCE ULAGANJA d.o.o. to the Purchaser, since the aquisition in question is, pursuant to the Share Purchase Agreement, subject to the fulfillment of several conditions precedent, one of which is obtaining the approval of the Commission for Protection of Competition of the Republic of Serbia.
The Issuer therefore submits this notice within three business days from the date of the release, regardless of the day on which the release of the shares will produce legal effects.
