HANFA has stated on its web site that the entire procedure regarding Actavis's offer for the takeover of Pliva, as well as its withdrawal, have been completed in line with the law and legal deadlines. HANFA has met Actavis's request and cancelled bank guarantees under regular procedure and in no case can it be held responsible for any extraordinary costs incurred by Actavis, the agency says.
It warns that the law firm representing Actavis has on several occasions exerted pressure on the agency by citing the amounts of alleged damage to be incurred by Actavis due to what the company said was the procrastination of the decision on the withdrawal of its offer. HANFA says in its statement that Actavis could have expected those costs.
The pressure culminated in a note saying that the agency would be reported to the competent prosecutor's office for unlawful conduct.
In its offer for the takeover of Pliva, Actavis offered 795 kuna per share, but decided to withdraw the offer after the US company Barr Pharmaceuticals increased its offer to 820 kuna per share.
