(hereinafter: PODRAVKA or assumer), hereby informs the public
on its intent to submit takeover offer for all of the shares of company ŽITO
prehrambena industrija, Inc., Šmartinska cesta 154, 1000 Ljubljana, Slovenia
(hereinafter: Žito Inc.) having ticker ZTOG and ISIN code
SI0031108440.
Žito Inc. is the issuer of 355,792 ordinary,
freely transferable shares on the name, issued in non-materiliazed form and registered
at the central securities register with KDD - Centralni klirinško depotni
družbi, Inc., Ljubljana. The stated shares are being
traded on the official securities market – Ljubljana Stock Exchange
(Ljubljanska burza d.d.)
On the day of publishing takeover intent, PODRAVKA holds 183,386 shares
of Žito Inc., that represents 51.54 % of all shares with the voting right of Žito Inc..
Pursuant to the Article 24 of the Slovenian Takeover
Act, PODRAVKA notified the Securities Market Agency of the Republic of
Slovenia, Public Agency of the Republic of Slovenia for the Protection of Market Competition, Management
Board of Žito Inc., representatives of Žito Inc. employees and representatives of
employees of PODRAVKA as taking-over company, on the takeover intent and provided
for the takeover intent to be published in the daily newspaper Delo on 7th
October 2015.
Within 30 days at the latest, but not before the expiration of 10 days
as of publishing the takeover intent, PODRAVKA will make public the takeover offer
for taking over and purchase of all Žito Inc.shares that are not held by PODRAVKA.
