Ledo joint stock company for production and sale of ice cream and frozen foods, Zagreb, Čavićeva 1a, MBS: 080002964, OIB: 87955947581, responsible person: Dario Vrabec (hereinafter: the Issuer) informs that on 27 February 2018 has received Statement Request from Zagreb Stock Exchange in relation with untested media inscriptions (https://www.jutarnji.hr/vijesti/croatia/franck-trazi-od-suda-objavite-osam-tajnih-aneksa-agrokorova-ugovora-o-roll-up -CREDIT / 7070904 /).
It states that after the conclusion of the Super-Priority Term Facilities Agreement, a minimum of eight amendments were concluded in the period of six months, namely: June 13, June 18, June 28, July 4, July 10, 30 August, September 21, and December 8, 2017. The Issuer has been requested to disclose (i) whether any of the amendments contains a provision that alters or replaces the provision of the Super-Priority Term Facilities Agreement under which creditors are entitled but not obliged to announce their claims as to become matured, in the event that the Government or the court in the procedure of the extraordinary administration replace the extraordinary commissioner (the provision stated in your statement dated 26 February 2018) and (ii) which possibilities are available to the creditors accordingly to the Super-Priority Term Facilities Agreement in the event of replacement of the extraordinary commissioner.
Following the submitted inquiry and according to the information available, the Issuer confirms that the initial Super-Priority Term Facilities Agreement has been revised by amendments but those revisions do not affect any of the creditor's rights in relation with the event of replacement the Extraordinary commissioner.
Furthermore, in the event that the court within the procedure of extraordinary administration replaces the Extraordinary commissioner, creditors are entitled, but not obliged (i) to declare that all or part of the financial obligations are matured, together with the calculated interest and other outstanding amounts or (ii) declare that the financial obligations from the Super-Priority Term Facilities Agreement are to be paid upon the filed request, and (iii) require the exercise of the rights, legal remedies and powers under the Super-Priority Term Facilities Sincerely,
