Since BSA gained more than 25 per cent of all of Dukat's voting shares, it is obliged to announce a tender offer for takeover within a time frame provided for under the law to make it possible for the rest of the shareholders to sell their shares.
Former Dukat majority owner Luka Rajic said on Thursday that an agreement had been reached with Lactalis Group for the sale of 2,744,769, or 91.49 per cent, of Dukat shares at 749.78 kuna per share, totalling 2.06 billion kuna.
Under the agreement, Lactalis assumed the obligation to continue developing Dukat's business operations and keep the present employees both in Dukat and in its affiliates.
The agreement will go into force upon receipt of required approvals from relevant regulatory bodies.
