Pursuant with the Article 474 of the Capital Market Act, we hereby inform you as the Issuer of the aforementioned security listed on the Official Market of the Zagreb Stock Exchange, that based on the Share Buy-Back Programme adopted on December 2nd, 2022, at the Management and Supervisory Board meeting of Span d.d. (“Company”), an investment company Interkapital vrijednosni papiri d.o.o, has in the name and on behalf of the Company, made the following purchase of shares of the Company (own shares), on the regulated market of the Zagreb Stock Exchange (ZSE):
• On August 10th, 2023, 500 SPAN shares were purchased at an average weighted price of EUR 59.86 per share, which represents 0.0255 % of the Company's share capital.
• Prior to the said acquisition, the Company owned 19,830 of own shares, representing 1.0117 % of the share capital. After the said acquisition and as at the date of this Notice, the Company owns a total of 20,330 of own shares, representing 1.0372 % of the share capital. Share capital of the Company amounts to HRK 19,600,000.00 and is divided into 1,960,000 ordinary registered shares with a nominal value of HRK 10.00, under security code SPAN-R-A and ISIN code HRSPANRA0007.
The Share Buy-Back Programme is carried out with the aim of disposition of the Shares within the framework of the Company's ESOP programme, rewarding members of the Management Board, employees of the Company and affiliated companies, potential acquisitions of companies, as well as for all other purposes that are foreseen and permitted as such by the applicable legislation of the Republic of Croatia, and in accordance with the decision of the General Assembly of the Company from June 13th, 2022.
